Please read these Terms of Service carefully before using PartsBase. By accessing or using the service, you agree to be bound by these terms. If you do not agree, do not use the service.

1. About PartsBase

PartsBase is an electronic component inventory management service operated by Durandal Limited, a company registered in the UK (company number 07891415). References to "we", "us" or "our" mean Durandal Limited. References to "you" or "your" mean the individual or organisation using the service.

2. Accounts and Registration

To use PartsBase you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must be at least 16 years old to use the service. By registering, you represent that the information you provide is accurate and that you will keep it up to date.

You may not share your account credentials with others or create accounts for the purpose of abuse or circumventing plan limits.

3. Plans and Payment

PartsBase is offered on a free tier and via paid subscription plans. Paid plans are billed through Paddle, our authorised reseller and payment processor. By subscribing to a paid plan, you agree to Paddle's Buyer Terms.

Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period and you will retain access to paid features until then.

We reserve the right to change pricing with reasonable notice. We will notify you by email before any price change takes effect for your existing subscription.

Refunds are handled in accordance with Paddle's refund policy. If you believe you have been charged in error, contact us at [email protected].

4. Acceptable Use

You agree not to use PartsBase to:

  • Violate any applicable law or regulation
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorised access to any part of the service or its infrastructure
  • Scrape, crawl, or extract data from the service by automated means without our written consent
  • Resell or sublicense access to the service without our written consent
  • Use the service in a way that could damage, disable, or impair it

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

5. Your Data

The inventory data, BOMs, and other content you create in PartsBase belongs to you. We do not claim ownership of your data.

You grant us a limited licence to store and process your data solely for the purpose of providing the service to you. We will not access your data except to provide the service, resolve technical problems, or as required by law.

We take reasonable technical and organisational measures to protect your data. However, no internet service can be completely secure. You are responsible for maintaining appropriate backups of data that is critical to your operations.

Our collection and use of personal data is described in our Privacy Policy.

6. Intellectual Property

The PartsBase service, including its software, design, and content, is owned by Durandal Limited and is protected by intellectual property laws. Nothing in these terms transfers any ownership of our intellectual property to you.

We grant you a limited, non-exclusive, non-transferable licence to use the service in accordance with these terms.

7. Availability and Support

We aim to provide a reliable service but we do not guarantee uninterrupted availability. The service is provided "as is" and we may need to perform maintenance that results in temporary downtime. We will endeavour to minimise disruption and provide advance notice where possible.

8. Limitation of Liability

To the fullest extent permitted by law, Durandal Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising under these terms shall not exceed the amount you paid to us in the twelve months preceding the claim.

9. Termination

You may delete your account at any time. Upon deletion, all your data will be permanently removed.

We may suspend or terminate your account if you breach these terms, with or without notice depending on the severity of the breach. We may also discontinue the service with reasonable advance notice.

10. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to These Terms

We may update these terms from time to time. We will notify you of material changes by email or by displaying a notice in the application. Continued use of the service after changes take effect constitutes acceptance of the updated terms.
